Organization Goal

IGRS aims at delivering the IGRS Standard (Intelligent Grouping and Resource Sharing Standard) to enable intelligent grouping, resource sharing and service collaboration among information devices, consumer electronics and communication devices in a limited network domain (wired or wireless), to improve the interoperability and usability among these digital devices, and to create new collaborative application models for digital devices and maximize the resource usage of each device.

I. General Provisions

Article1 The Articles of Bylaws are stipulated pursuant to the regulations of Standardization Act of the People’s Republic of China and other relevant laws.
Article2 To address the increasing market and user needs, drive the development of computer, consumers electronics, vehicle electronics, communications industry and technology, and improve device grouping and resource sharing technologies, Intelligent Grouping and Resource Sharing Working Group(IGRS WG) was initiated by 5 founders: Lenovo (BeiJing ) Limited ,KONKA Group Co.Ltd, Hisense Company Ltd, China Great Wall Computer Group and TCL Corporation, and shall be established and approved by the Science and Technology Department of Ministry of Information Industry(MII).
Article3 IGRS WG shall be a nonprofit registered organization approved by the authorized government agency.
Article4 IGRS WG is a technical organization that develops national standardization work in the Information Technology field, and its major responsibilities shall be the following:
1. Define Intelligent Grouping and Resource Sharing Standard ("IGRS Standard" or "Standard") documents
2. Provide technical consultation for enterprises and organizations that develop products conformant to the Standard
3. Publish Standard documents and relevant explanatory material created by IGRS WG
4. Administrate Standard Conformance Certification on products developed in compliance with IGRS WG Standard;
5. Release information pertaining to IGRS WG
Article5 The outcome of IGRS WG shall be submitted to MII’s Science and Technology Department for examination, approval and release.


II. Members

Article6 IGRS WG shall be created on the principle of openness and free will, and it is composed of enterprises and institutions that engaged in the fields of research, development, manufacture, sale and service for computer, consumer electronics, vehicle electronics and communications industry and technology.
Article7 IGRS WG shall be an organization based on membership. And formally registered enterprise or institution (one that possesses legal entity status) that is engaged in the development of China information industry and technology, can become a member of IGRS WG by signing the Non- Disclosure Agreement, agreeing to these articles in the IGRS Bylaws and willingly fulfilling appropriate membership obligations and submitting a signed Membership Agreement, and being approved by IGRS Core Member Conference.
Article8 IGRS WG Members shall include Core Member, Promoting Member, Regular Member, and Observing Member.
Article9 IGRS WG member’s affiliate shall be referred to as a legal entity that meets the following conditions:
(1)Own or control the Member directly or indirectly ;or
(2)Owned or controlled directly or indirectly by a legal entity that owns or controls the member ;or
(3)Owned or controlled directly or indirectly by the member
However, these above relationships only exist during the period of ownership or control. The ownership or control could exist in the following forms: B. Control the legal entity¡¯s management policies and strategies by voting or appointing more than half of the directors or similar executives.
(1)Own above 50%(not including 50%)of voting shares;
(2)Control the legal entity’s management policies and strategies by voting or appointing more than half of the directors or similar executives.
Article10 Unless otherwise specified, IGRS members mentioned in this Articles of Bylaws or any other management articles and regulations shall apply to both the members and their affiliates.
Article11 Core Member Rights
1.core rights
(1)Participate in IGRS WG Member Conference and Core Member Conference and access conference documents;
(2)Participate in IGRS WG directional decision making process; each Core Member shall have one(1) vote on each matter that requires voting within IGRS WG;
(3)Participate in IGRS WG committee and subcommittee meetings and activities; and its member shall have the right to be the initiator of subcommittee meeting and activity,
(4)Have the right to draft the specification, to submit proposals and vote on documents;
(5)Obtain IGRS WG working documents, technology report and formally published specification documents as follows: IGRS Core Protocol (electronic version), IGRS Device Certification standard (electronic version), IGRS technology white paper, IGRS user scenarios.
(6)Access development plan of IGRS Specification;.
(7)Use the development tools provided by IGRS WG, for a service fee according to the price standard in IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision ;
(8)Use the testing and certification tools provided by IGRS WG, for a service fee according to the price standard of IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision;
(9)Member’s entity name listed on member section of IGRS website and in all news releases as Core Member; Member’s entity name on IGRS website linked to member’s website; Member’s Logo listed on member Logo section of IGRS website;
2.Extended Rights
(1)Get personnel training service and on-site support from IGRS WG for development of protocol stack, use of development tools and testing and certification tools;
(2)Develop IGRS products with IGRS WG;
(3)Technologies and products promotion in IGRS alliance;
(4)Participate in relevant exhibitions as a group;
(5)Products exhibited in the forms of pictures and live samples, and sold in IGRS stores;
(6)Engage in consolidated promotion and marketing;
(7)Products listed in annual catalog of IGRS key products;
(8)Engage in technology communication with other Standard Organizations (domestic and international) and hold joint marketing activity;
3.Other Rights and Benefits
(1)Get support from IGRS WG when applying for national project funds;
(2)Use IGRS logo for a rights fee according to the price standard of IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision;
(3)Free use of IGRS alliance mark;
(4)Get testing and certification at a discount price according to IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision;
(5)Has priority on using existing IGRS software, service and solution;
Article12 Core Member Obligations
(1)Member warrants itself and its affiliates to fully comply with the Articles of Bylaws, relevant agreements and other regulations, and to fully execute the decisions made by IGRS WG.;
(2)Pay membership fee on time;
(3)Defend the best interests of IGRS WG; respect and protect IGRS WG’s draft and final research and development outputs;
(4)Actively participate in IGRS meetings;
(5)Actively undertake IGRS WG tasks, participate in drafting the standard specification and in project setup, standard specification testing, trial and verification, and examination;
(6)Actively promote and implement IGRS standard; invest funding in developing IGRS-related products and market promotion activities;
(7)Provide member’s entity Logo and a brief introduction in Chinese and English to IGRS WG as materials for IGRS marketing activities and WG website;
(8)Appoint a liaison to IGRS WG and operates as a contact between websites of the two parties;
(9)Promote IGRS standard and products;
Article13 Promoting Member Rights
1.Core Rights
(1)Participate in IGRS WG Member Conference and access conference documents;
(2)Have the right to draft the specification and submit proposals;
(3)Obtain IGRS WG working documents, technology report and formally published standard documents as follows: IGRS Core Protocol (electronic version), IGRS Device Certification standard (electronic version), and IGRS technology white paper;
(4)Access development plan of IGRS Specification;
(5)Participate in IGRS WG committee and subcommittee meetings and activities;
(6)Use the development tools provided by IGRS WG, for a service fee according to the price standard of IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision;
(7)Use the testing and certification tools provided by IGRS WG, for a service fee according to the price standard of IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision;
(8)Member’s entity name listed on member section of IGRS website and in all news releases as Promoting Member; Member’s entity name on IGRS website linked to Member’s website; Member’s Logo listed on member Logo section of IGRS website.;

Article14 Promoting Member Obligations

Article15 Regular Member Rights
1.core rights
(1)Participate in IGRS WG Member Conference and access conference documents;
(2)Obtain IGRS WG working documents , technology report and formally published standard documents as follows: IGRS Core Protocol (electronic version), IGRS Device Certification standard (electronic version), and IGRS technology white paper;
(3)Attend IGRS WG, committee and subcommittee meetings and activities;
(4)Use the development tools provided by IGRS WG, for a service fee according to the price standard of IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision ;
(5)Use the testing and certification tools provided by IGRS WG, for a service fee according to the price standard of IGRS Charging Rules of Logo Authorization and Relevant Product and Service Provision;
(6)Member’s entity name listed on member section of IGRS website news as Regular Member; Member’s entity name on IGRS website linked to member’s website; Member’s Logo listed on member Logo section of IGRS website.
2.Extended Rights
(1)Get personnel training service and on-site support from IGRS WG for development of protocol stack, use of development tools and testing and certification tools;

Article16 Regular Member Obligations

(6)Provide member’s entity Logo and a brief introduction in Chinese and English to IGRS WG as materials for IGRS marketing activities and WG website;
(7)Appoint a liaison to IGRS WG and operates as a contact between websites of the two parties;
(8)Promote IGRS standard and products;
Article17 Observing Member Rights
1.core rights
(1)Participate in IGRS WG Member Conference and access conference documents;

Article18 Observing Member Obligations
(1)Member warrants itself and its affiliates to fully comply with the Articles of Bylaws, relevant agreements and other regulations and to fully execute the decisions made by IGRS WG;
(2)Pay membership fee on time;
(3)Defend the best interests of IGRS WG; respect and protect IGRS WG’ s draft and final research and development outputs;
(4)Actively participate in IGRS meetings;
(5)Actively promote and implement IGRS standard;
(6)Provide member’s entity Logo and a brief introduction in Chinese and English to IGRS WG as materials for IGRS marketing activities and WG website;
(7)Appoint a liaison to IGRS WG and operates as a contact between websites of the two parties;
(8)Promote IGRS standard and products;


III. Organization

Article19 There shall be a Chair for the IGRS WG, appointed by MII"s Science and Technology Department, and under this office there shall be the Secretary Bureau, Technology Consultant Committee, Technical Committee and IPR Committee. Science and Technology Department shall appoint an IGRS WG liaison in charge of member coordination.
Article20 The IGRS WG shall adopt a Chair representation mechanism, and the Chair shall be designated and responsible for the Core Member conference. Chair shall carry out external contact on behalf of this WG, regularly report major activities and important external information to members, and research and define IGRS WG phase work plans.
Article21 The Secretary Bureau shall be responsible for promoting and implementing work plans, daily operation management, promotion and logo management of the IGRS WG.
Article22 Technical Consultant Committee shall be IGRS WG’s consultation organization for technical expertise, and it shall be composed of scientists and standardization experts in the information technology field. Its members shall be nominated by members and approved by the Core Member Conference.
Article23 Technical Committee members shall be nominated by members and approved by the Core Member Conference. It shall be responsible for drafting, modifying and submitting IGRS specification and resolving IGRS-related technical issues.
Article24 Intellectual Property Rights (IPR) Committee members shall be nominated by members and approved by the Member Conference. It shall be responsible for the construction of the IPR management regulations of IGRS WG,and for assisting members with patent management issues.

IV. IPR Policies

Article25 IGRS WG shall adopt the IGRS Intellectual Property Rights Policy to regulate all standard-related IPR issues. All members shall agree and be subject to the obligations stated in this Intellectual Property Rights Policy.
Article26 IGRS WG logo and domain name shall be owned by the IGRS Information Industry Association.


V. Operation

Article27 The Chair shall define work plans periodically and clearly assign tasks and develop plans based on each assignment.
Article28 Each member shall actively assume assigned tasks and work according to the relevant regulations, policies and working procedures adopted by IGRS WG.
Article29 The Secretary Bureau shall be responsible for the daily operation management of IGRS WG. In addition, the Secretary Bureau, using quarterly reports published on the official IGRS website or in electronic message format, shall update work plan progress, status and other development to all members in order to enhance the communications among IGRS members and to facilitate the implementation of the work plans.
Article27 The Chair shall define work plans periodically and clearly assign tasks and develop plans based on each assignment.
Article28 Each member shall actively assume assigned tasks and work according to the relevant regulations, policies and working procedures adopted by IGRS WG.
Article30 IGRS WG Member Conference shall be the meeting that all member entities may participate. It shall have the following duties:
1.Listen to IGRS Chair and Committee Chair’s current working reports.
2.Discuss IGRS working plans and collect members’ proposals.
Article31 IGRS WG Core Member Conference (only core members may attend), shall be IGRS WG’s highest decision making organization, and shall have the following duties:
1.Examine and approve IGRS Articles of Bylaws and other relevant regulations
2.Examine and approve the participation of new applicant
3.Examine and approve final draft of Design Specification
4.Examine and approve member cessation and expulsion
5.Examine and approve other major issues.
Article32 In principle, IGRS WG Core Member Conference and Member Conference shall be held every half year, convened by the Secretary Bureau. A provisional meeting may be held if the Chair or any member entity proposes out of necessity.
Article33 IGRS WG Core Member Conference and Member Conference may be held through use of live meeting, teleconference, videoconference or electronic mail meeting and other communication methods, so long as all people participating in such meeting can clearly express one’s ideas during such meeting. The voting may be conducted using ballots, a show of hands if held in person or electronic voting procedure and other voting methods.
Article34 A meeting in which two-thirds (inclusive) of all required participants were presented shall constitute an Effective Meeting. An effective meeting shall be required before any voting at the meeting could take place.
Article35 Unless specified in other provisions in this Articles of Bylaws, any proposal shall take effect only if it has been voted and approved by more than 2/3 (exclusive) of the participating Core Members. If the voting result is less than 2/3, the Chair shall make the final determination.
Article36 The voting result from the IGRS WG Core Member Conference shall be submitted to MII’s Science and Technology Department for record keeping. The IGRS WG liaison, who shall act on behalf of the Ministry of Information Industry, has one-vote veto power.
Article37 After the completion of IGRS WG’s mission, the Chair shall raise a proposal for the distribution of IGRS WG’s remaining assets; its implementation shall begin after obtaining the approvals from IGRS Core Member Conference and the Ministry of Information Industry.


VI. Fee

Article38 To guarantee the successful completion of Standard, member shall pay annual membership fee. The fee shall be managed by the IGRS WG. The funds shall be used for the specific purpose of developing and promoting the standard and saved in a special account. The fee shall be used as the working expenditures of IGRS WG.
Article39 IGRS WG shall report the use of the membership fees to all members every half a year, and shall be required to answer all inquiries related to membership fees.


VII. Joining and Seceding

Article40 Any entity planned to join IGRS WG shall sign the Non-Disclosure and Membership Agreement. After receiving the signed documents to be voted and approved by IGRS Core Member conference, and then the approved applicants list shall be submitted to MII’s Science and Technology Department for final examination and approval. New member shall assume the member’s rights and obligations after joining IGRS WG.
Article41 Excluding those members who joined before the Articles of Bylaws was developed, all new members of the IGRS WG shall be allowed to choose to become Observing Member, Regular Member, Promoting member, and shall follow the membership promotional procedure stated in this order (from low to high): Observing Member, Regular Member, Promoting Member, Core Member.
Article42 Any member shall be able to withdraw from IGRS Working Group at its own discretion by submitting a withdrawal notice in writing to the Secretary Bureau of the Working Group. The withdrawal notice shall be given both: (i) by express mail or registered mail, postage prepaid, and (ii) by electronic mail or facsimile, and in such a case the effective date of termination ("Effective Termination Date") shall be the earlier date of the two receipt time of such a notice. After the withdrawal notice is received by the Secretary Bureau, the application shall be reported to MII’s Science and Technology Department for record keeping.
Article43 If any member seriously violates the Articles of Bylaws and/or other regulations and agreements of IGRS WG, or its behavior seriously harms or threatens the best interests of IGRS WG or other IGRS Members, or ignores the required membership responsibilities for a long time, and has been warned in writing by Secretariat shall put forward the expulsion proposal to the Core Member Conference after the fact was examined and the Core Member Conference after the fact was examined and the core members shall vote for expulsion at the Conference. IGRS WG shall reserve the rights of seeking legal actions against such a member.
Article44 The change of IPR rights and obligations due to the member’s secession or expulsion shall be applicable according to the IGRS Intellectual Property Rights Policy.


VIII. Effectiveness and Termination

Article45 The Article of Bylaws has been adopted on after they were approved by the Core Member Conference.
Article46 The Articles of Bylaws shall not be terminated unless unanimously agreed by all the Core Member Conference. The Articles of Bylaws shall automatically terminate with the cessation of the IGRS WG. However, if there is other agreement or regulation that terminates the provision in the Articles of Bylaws, that agreement or regulation shall prevail.
Article47 In order to protect the legal interests of all IGRS members, the Articles of Bylaws, regulations and administrative measures shall automatically apply to the new legal entity that succeeds IGRS Working group.
